1. Acceptance of Terms

These Terms of Service ("Terms") apply to you as an Expert ("Expert," "you," or "your") and govern your access to and use of AskMusicPros.com and any related pages, products, and services offered by AskMusicPros (collectively, the "Platform").

By applying to, accessing, or using the Platform as an Expert, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform as an Expert.

If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Eligibility

You must be at least 18 years of age and legally able to provide services in your jurisdiction. By using the Platform as an Expert, you represent that you meet these requirements.

3. Independent Contractor Status

You acknowledge and agree that you are an independent contractor and not an employee, partner, agent, or joint venturer of AskMusicPros.

AskMusicPros does not control the manner or means by which you provide responses. You are solely responsible for your services, taxes, insurance, permits, and compliance with applicable laws.

Nothing in these Terms creates an employment, partnership, or agency relationship.

4. Platform Role

AskMusicPros is a technology platform that connects Users with independent Experts. AskMusicPros does not supervise, direct, or control your responses and is not responsible for the substance of any content you provide.

You are solely responsible for the accuracy, legality, and appropriateness of your responses.

5. Expert Obligations

As an Expert, you agree to:

Provide accurate and truthful profile information
Maintain the qualifications and experience you represent
Respond within the timeframes you advertise or accept
Provide thoughtful, good-faith responses
Comply with all applicable laws and regulations

You may decline Requests at your discretion unless already accepted.

6. Educational Use Only

You agree that all responses provided through the Platform are for educational and informational purposes only.

You agree not to represent your responses as legal, financial, medical, psychological, or other licensed professional advice unless you are properly licensed and legally authorized to provide such advice.

7. Fees, Platform Commission, and Payouts

You set your own pricing where permitted by the Platform.

AskMusicPros retains a platform commission percentage from each completed transaction. The remaining balance ("Net Earnings") will be paid to you through the designated payout provider.

Payout timing, minimum thresholds, processing delays, or holds may apply.

You are solely responsible for reporting and paying all taxes associated with your earnings. AskMusicPros may issue required tax forms as applicable.

Chargebacks and Disputes

If a User initiates a chargeback, fraud claim, or payment dispute, AskMusicPros may withhold current or future payouts related to the transaction while the matter is reviewed.

You agree that AskMusicPros may recover disputed amounts from your balance if required by a payment processor.

8. No Circumvention (Very Important)

You agree not to bypass the Platform to avoid fees.

You may not:

Solicit or accept off-platform payment from Users you met through AskMusicPros
Share personal contact information for the purpose of moving transactions off-platform
Direct Users to book you through another website, payment method, or service for substantially similar services

Violations may result in immediate suspension, forfeiture of earnings, or permanent removal from the Platform.

9. Expert Content and License

"Expert Content" includes your profile information, responses, audio recordings, text, and any materials you submit through the Platform.

You represent and warrant that:

You own or have rights to all content you provide
Your content does not infringe third-party rights
Your content complies with these Terms

You retain ownership of your content. By submitting it, you grant AskMusicPros a worldwide, non-exclusive, royalty-free license to host, display, transmit, reproduce, and distribute your content solely for operating, promoting, and improving the Platform.

10. Intellectual Property

The Platform and all AskMusicPros-owned branding, design, code, and materials are owned by AskMusicPros or its licensors and are protected by intellectual property laws.

You may not copy, reverse engineer, or exploit Platform materials without written permission.

11. Expert Conduct

You agree not to:

Harass, threaten, or abuse Users
Provide discriminatory or hateful content
Submit unlawful, infringing, or harmful material
Misrepresent your credentials or experience
Upload malware or interfere with the Platform

AskMusicPros may remove content or suspend accounts for violations.

12. Termination

AskMusicPros may suspend or terminate your Expert account at any time, with or without notice, for violations of these Terms, fraud concerns, repeated complaints, circumvention, or conduct that may harm the Platform.

Upon termination, unpaid earnings may be withheld if related to policy violations or unresolved disputes.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

ASKMUSICPROS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ASKMUSICPROS DOES NOT GUARANTEE ANY VOLUME OF REQUESTS, INCOME, OR BUSINESS OPPORTUNITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKMUSICPROS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT WILL ASKMUSICPROS'S TOTAL LIABILITY EXCEED THE TOTAL COMMISSIONS RETAINED FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless AskMusicPros and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

Your services or responses
Your violation of these Terms
Your infringement of third-party rights
Your interactions with Users

16. Dispute Resolution; Arbitration; Class Action Waiver

Mandatory Arbitration

Any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA). The Federal Arbitration Act governs interpretation and enforcement.

No Class Actions

You waive any right to participate in a class action, class arbitration, or representative proceeding.

Jury Trial Waiver

You waive the right to a trial by jury.

17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

18. Changes to These Terms

AskMusicPros may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance.
