1. Acceptance of Terms

These Terms of Service ("Terms") apply to you as a client or prospective client ("User") and govern your access to and use of AskMusicPros.com and any related pages, products, and services offered by AskMusicPros (collectively, the "Platform").

By accessing or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Eligibility

The Platform is intended for individuals 18 years of age or older. By using the Platform, you represent that you are at least 18 and able to form legally binding contracts.

3. What AskMusicPros Is and Is Not

AskMusicPros is an online platform that enables users seeking guidance ("Users") to request educational feedback from independent professionals ("Experts") delivered asynchronously via:

Written responses
Recorded audio responses

AskMusicPros does not provide:

Live calls
Video calls
Real-time coaching
Pay-per-minute services
Guaranteed outcomes

Platform-Only Role

You understand and agree that AskMusicPros is a technology platform and is not an Expert, a studio, a manager, an agent, a label, or a professional services firm. Experts are independent third parties who provide their own responses. AskMusicPros does not control, supervise, direct, or guarantee any Expert's conduct, availability, or responses and disclaims all liability arising from User-Expert interactions to the maximum extent permitted by law.

4. Educational and Informational Use Only

All content, commentary, responses, and materials provided through AskMusicPros, whether by Experts or otherwise, are for educational and informational purposes only.

You understand that music feedback is subjective and results vary. You are responsible for your decisions and actions, including how you use any response.

AskMusicPros and Experts do not provide legal, medical, financial, psychological, or other licensed professional advice. If you need professional advice for your situation, you agree to consult a qualified professional.

5. No Endorsement and No Verification

AskMusicPros does not endorse any Expert or any specific viewpoint. Any Expert profile information or descriptions are provided by the Expert or from sources they provide.

To the maximum extent permitted by law, AskMusicPros does not guarantee the accuracy of Expert profiles, credentials, identity, or outcomes. You are solely responsible for evaluating an Expert's suitability and the value of any response you receive.

6. Accounts and Security

To access certain features, you may need to create an account.

You agree to:

Provide accurate information
Maintain and update your information
Keep your credentials secure
Notify us promptly of unauthorized access

You are responsible for all activity under your account, including purchases made with your credentials.

7. Listings, Requests, and Responses

Experts may create public profiles and offer response-based services ("Listings" or "Offers"). Users may submit requests for responses ("Requests").

When you submit a Request, you agree to provide clear, accurate information and any materials needed for the Expert to respond. You are responsible for ensuring you have the rights to share anything you upload.

Delivery times are estimates unless explicitly stated otherwise. Experts respond asynchronously and availability can change.

AskMusicPros may, at its discretion, remove or restrict Listings, content, or accounts for any reason, including violations of these Terms or to protect the Platform.

8. Fees, Payments, and Refunds

Fees are displayed before purchase. By submitting a Request and payment, you authorize AskMusicPros (and its payment processors) to charge the payment method provided for the total amount shown, including any applicable taxes.

You are responsible for any fees charged by your bank or payment provider (for example, foreign transaction fees).

Refund Policy

Unless otherwise required by law:

Once an Expert response has been delivered, the purchase is non-refundable.
If a response is not delivered within a reasonable time, AskMusicPros may issue a refund or credit at its discretion.
If you initiate a chargeback or payment dispute, AskMusicPros may suspend or restrict your account and deny future access to the Platform.

AskMusicPros uses third-party payment processors and does not store full payment card data.

9. No Circumvention (Very Important)

You agree not to bypass AskMusicPros or avoid Platform fees.

This means you may not:

Use AskMusicPros to identify an Expert and then transact off-platform
Request, share, or solicit direct contact details to move communications or payment outside AskMusicPros
Encourage, coordinate, or facilitate off-platform payment for the same or similar services

Violations may result in immediate suspension or termination without refund.

10. User Conduct

You agree not to:

Violate any applicable laws or regulations
Harass, threaten, defame, or abuse others
Submit pornographic, sexually explicit, or exploitative content
Submit hate speech or content that promotes violence
Impersonate any person or entity
Upload malware or harmful code
Spam or solicit unrelated commercial services
Scrape, crawl, reverse engineer, or interfere with the Platform
Collect personal data about others without permission
Submit content that violates third-party rights (including copyright, trademark, or privacy rights)

AskMusicPros may investigate and take action, including content removal, account restriction, or referral to law enforcement where appropriate.

11. User Content and License

"User Content" includes anything you post, upload, submit, transmit, or make available through the Platform, including text, audio, images, and files.

You represent and warrant that:

You own or have sufficient rights to your User Content
Your User Content does not infringe or violate third-party rights
Your User Content complies with these Terms

You retain ownership of your User Content. By submitting it, you grant AskMusicPros a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and display your User Content solely to operate the Platform, route your Request to an Expert, provide you the purchased response, prevent fraud and abuse, and improve the Platform.

12. Intellectual Property

The Platform and all AskMusicPros-owned content, branding, design, code, and materials are owned by AskMusicPros or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works from AskMusicPros materials without written permission.

13. Personal Use Only; No Redistribution

Responses delivered through AskMusicPros are for your personal use only.

You may not publicly post, publish, sell, license, train AI on, or redistribute Expert responses or Platform content without permission from AskMusicPros and, where applicable, the Expert.

AskMusicPros may remove content or restrict access if it believes redistribution is occurring.

14. Third-Party Services and Links

The Platform may link to third-party websites or services. AskMusicPros is not responsible for third-party content, availability, or practices.

If you use third-party payment providers or sign-in tools, their terms may apply to you.

15. Termination

AskMusicPros may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you violated these Terms, attempted circumvention, engaged in fraud, or used the Platform in a way that could harm other users or the Platform.

Sections intended to survive termination will survive, including intellectual property, disclaimers, limitation of liability, arbitration, and indemnity.

16. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ASKMUSICPROS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ASKMUSICPROS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY EXPERT RESPONSE WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY PARTICULAR RESULT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKMUSICPROS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

IN NO EVENT WILL ASKMUSICPROS'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ASKMUSICPROS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

18. Indemnification

You agree to indemnify and hold harmless AskMusicPros and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

Your use of the Platform
Your violation of these Terms
Your User Content
Your interactions with Experts or other users

19. Dispute Resolution; Arbitration; Class Action Waiver

Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved by binding arbitration, except that either party may seek injunctive relief in court for misuse of intellectual property or unauthorized access.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules. The Federal Arbitration Act governs interpretation and enforcement of this arbitration section.

No Class Actions

You and AskMusicPros agree to bring disputes only on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Jury Trial Waiver

You waive the right to a trial by jury.

20. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except to the extent federal arbitration law applies.

21. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and change the "Last Updated" date. Your continued use of the Platform after changes become effective constitutes acceptance.
